# Terms of Service

### **1. Agreement to Terms**

By accessing or using YardRoute ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

YardRoute is operated by OnchainYard ("we," "us," or "our"). The Service provides stablecoin routing infrastructure that aggregates multiple bridge protocols to facilitate cross-chain cryptocurrency transactions.

### **2. Description of Service**

#### **2.1 What YardRoute Does**

YardRoute is a non-custodial routing platform that:

* Aggregates multiple bridge protocols (Relay, Symbiosis, and others)
* Provides routing recommendations for cross-chain stablecoin transfers
* Displays fee comparisons and transaction time estimates
* Facilitates transactions by connecting users to third-party bridge providers

#### **2.2 What YardRoute Does NOT Do**

YardRoute does not:

* Custody, hold, or control user funds at any time
* Act as a money transmitter or payment processor
* Execute blockchain transactions on behalf of users
* Provide financial, investment, or tax advice
* Guarantee transaction success, speed, or costs

### **3. Eligibility**

#### **3.1 Age Requirements**

You must be at least 18 years old to use YardRoute. By using the Service, you represent and warrant that you meet this age requirement.

#### **3.2 Geographic Restrictions**

YardRoute is available globally except in jurisdictions where cryptocurrency services are prohibited. You are responsible for complying with local laws and regulations in your jurisdiction.

#### **3.3 Prohibited Persons**

You may not use YardRoute if you are:

* Listed on any government sanctions list
* Located in a jurisdiction under comprehensive sanctions (e.g., Cuba, Iran, North Korea, Syria, Crimea)
* Prohibited from using cryptocurrency services under applicable law

### **4. User Responsibilities**

#### **4.1 Wallet Security**

You are solely responsible for:

* Maintaining the security of your cryptocurrency wallet and private keys
* All transactions initiated from your wallet
* Any loss of funds due to compromised wallet security

YardRoute never requests or stores your private keys, seed phrases, or wallet passwords.

#### **4.2 Transaction Accuracy**

You must verify all transaction details before confirming, including:

* Source and destination blockchain networks
* Token types and amounts
* Recipient addresses
* Estimated fees and exchange rates

**YardRoute is not responsible for transactions sent to incorrect addresses or on incorrect networks.**

#### **4.3 Compliance with Laws**

You agree to comply with all applicable laws, including:

* Tax reporting requirements in your jurisdiction
* Anti-money laundering (AML) regulations
* Know Your Customer (KYC) requirements where applicable
* Export control and economic sanctions laws

### **5. Fees and Payments**

#### **5.1 Platform Fees**

YardRoute charges a % fee per transaction:

* **Consumer UI and API:**  0.5% per transaction (volume discount may apply)

Platform fees are deducted from the transaction amount and displayed before confirmation.

#### **5.2 Third-Party Fees**

In addition to YardRoute's platform fee, you will pay:

* **Bridge protocol fees** — Charged by the underlying bridge provider (Relay, Symbiosis, etc.)
* **Network gas fees** — Required by blockchain networks to execute transactions
* **Slippage** — Potential price difference between quote and execution

YardRoute displays estimated total costs but cannot guarantee final amounts due to network conditions.

#### **5.3 No Refunds**

All fees are non-refundable. Once a transaction is submitted to the blockchain, it cannot be reversed or canceled by YardRoute.

### **6. Transactions and Risks**

#### **6.1 Non-Custodial Nature**

YardRoute is a **non-custodial** service. This means:

* You maintain full control of your cryptocurrency at all times
* Transactions occur directly between your wallet and bridge protocol smart contracts
* YardRoute cannot reverse, cancel, or recover transactions
* You bear all risk of loss

#### **6.2 Bridge Protocol Risks**

Transactions are executed by third-party bridge protocols. Risks include:

* **Smart contract vulnerabilities** — Bridge contracts may contain bugs or exploits
* **Bridge failures** — Protocols may experience downtime or technical issues
* **Loss of funds** — Bridge exploits have historically resulted in user fund loss
* **Delayed transactions** — Network congestion or protocol issues may delay transfers

**YardRoute is not responsible for losses caused by bridge protocol failures, exploits, or errors.**

#### **6.3 Blockchain Risks**

Cryptocurrency transactions carry inherent risks:

* **Irreversibility** — Blockchain transactions cannot be undone
* **Network congestion** — May result in delays or failed transactions
* **Hard forks** — Blockchain upgrades may affect transaction validity
* **Regulatory changes** — Laws governing cryptocurrency may change

#### **6.4 Price Volatility**

Cryptocurrency prices are highly volatile. The value of tokens may change significantly between transaction initiation and completion.

#### **6.5 No Guarantees**

YardRoute provides routing estimates based on current market conditions but does not guarantee:

* Transaction success
* Quoted fees or exchange rates
* Transaction completion times
* Availability of liquidity

### **7. API Terms**

#### **7.1 API Access**

API access is subject to:

* Rate limiting (100 requests per minute for free tier)
* Authentication via API keys
* Compliance with API documentation
* Acceptable use policies

#### **7.2 API Developers**

If you integrate YardRoute's API, you agree to:

* Display accurate fee information to your users
* Not misrepresent YardRoute's services
* Comply with all applicable regulations
* Indemnify YardRoute against claims arising from your integration

#### **7.3 API Changes**

We may modify, suspend, or discontinue API access at any time with reasonable notice.

### **8. Intellectual Property**

#### **8.1 YardRoute Property**

All content, features, and functionality of the Service (including text, graphics, logos, code, and software) are owned by OnchainYard and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal or internal business purposes.

#### **8.3 Restrictions**

You may not:

* Copy, modify, or create derivative works of the Service
* Reverse engineer or decompile any part of the Service
* Use automated systems (bots, scrapers) without permission
* Remove copyright or proprietary notices

* Wallet addresses (public blockchain data)

* Names, email addresses, or phone numbers (unless you create an API account)
* Private keys or seed phrases
* Government-issued identification

#### **10.3 No Guarantee of Availability**

We do not guarantee that the Service will be available at all times or free from errors, bugs, or interruptions.

### **11. Limitation of Liability**

#### **11.1 Maximum Liability**

TO THE FULLEST EXTENT PERMITTED BY LAW, ONCHAINYARD'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE LESSER OF:

* (A) THE FEES YOU PAID TO YARDROUTE IN THE 30 DAYS BEFORE THE CLAIM, OR
* (B) $100 USD

#### **11.2 Excluded Damages**

IN NO EVENT SHALL ONCHAINYARD BE LIABLE FOR:

* Loss of profits, revenue, or business opportunities
* Loss of cryptocurrency or digital assets
* Indirect, incidental, special, or consequential damages
* Damages arising from third-party bridge protocol failures
* Damages from unauthorized access to your wallet

#### **11.3 Basis of the Bargain**

You acknowledge that these limitations of liability reflect the allocation of risk and are a fundamental basis of our agreement.

### **12. Indemnification**

You agree to indemnify, defend, and hold harmless OnchainYard, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

* Your use of the Service
* Your violation of these Terms
* Your violation of any law or regulation
* Your violation of any third-party rights
* Transactions you initiate through the Service

#### **13.1 Your Right to Terminate**

You may stop using the Service at any time.

#### **13.2 Our Right to Terminate**

We may suspend or terminate your access to the Service:

* If you violate these Terms
* If required by law or regulatory authority
* If we suspect fraudulent or illegal activity
* At our discretion with or without notice

#### **13.3 Effect of Termination**

Upon termination:

* Your right to use the Service immediately ceases
* Provisions regarding disclaimers, liability, and indemnification survive

#### **16.4 Assignment**

You may not assign these Terms without our consent. We may assign these Terms to any successor or affiliate.

#### **16.5 Third-Party Beneficiaries**

These Terms do not create rights for third parties.
